2. Acceptance & Updates

By visiting our site, creating an account, or purchasing products, you accept these Terms. We may update these Terms from time to time; the version posted on the site is the current version. For material changes, we will provide reasonable notice (e.g., email or on-site notice). Continued use after changes become effective constitutes acceptance.

3. Eligibility, Accounts & Security

• You must be at least 18 (or the age of majority in your jurisdiction) to purchase.
• The Services are for personal, non-commercial use only.
• You agree to provide accurate information and to keep your password confidential. You are responsible for activity under your account.
• We may suspend or terminate access for suspected fraud, misuse, or breach of these Terms.

4. Products, Pricing & Orders

• We may limit quantities, discontinue products, correct errors, or cancel orders (with refund) at our discretion.
• Prices are shown in the currency displayed at checkout. Where indicated, duties & taxes are included (DDP). Final amounts include shipping, taxes and duties as applicable.
• Placing an order authorizes us to charge your payment method for the total due.
• If a pricing, availability, or content error occurs, we may cancel and refund your order or contact you for instructions.
• Products are cosmetic and for external use only; please read ingredient lists if you have sensitivities.

5. Subscriptions & Auto-Delivery

We offer subscription plans with recurring deliveries (“Subscription” or “Auto-Delivery”). By enrolling, you authorize us to automatically charge your selected payment method for each recurring order at the then-current price, plus applicable taxes, duties, and shipping, until you cancel.

• Frequency & Price. The cadence (e.g., every 30/60/90 days) and price are shown at enrollment and may change; we will notify you in advance of material changes.
• Automatic Renewal. Subscriptions renew automatically until cancelled. Manage, skip, or cancel anytime in your account or by emailing hello@nacre-beauty.com.
• Cut-off for Changes. To avoid being charged for the next shipment, submit changes or cancellation at least 48 hours before the next processing date (shown in your account and emails).
• Failed Payments. If a charge fails, we may retry, request an updated method, suspend, or cancel the Subscription.
• Promotions. Introductory or bundle discounts typically apply only to the first cycle unless otherwise stated.
• Compliance. We comply with applicable automatic-renewal and “negative option” laws (e.g., California ARL, FTC rules) by providing clear enrollment terms, affirmative consent, and easy cancellation methods.

6. Shipping & Delivery

Shipping methods, costs, and timeframes are described in our Shipping Policy. Delivery estimates are in business days and exclude processing time. We are not responsible for delays caused by carriers, customs, weather, or other events beyond our reasonable control. Risk of loss passes to the carrier when the parcel is accepted by the carrier.

7. Returns, Exchanges & Refunds

Please review our Return & Refund Policy for eligibility, timelines and how to request a return, exchange or refund. Unless we made an error, original shipping charges are non-refundable. Nothing in these Terms limits any non-waivable consumer rights (e.g., EU/UK withdrawal rights).

8. Order Changes & Cancellations

If you need to cancel or modify an order, contact us at hello@nacre-beauty.com. We’ll assist if your parcel hasn’t shipped yet. Once shipped, please use our Return & Refund Policy.

9. User Content, Reviews & Community

By submitting reviews, images, or other content (including via brand hashtags), you grant Nacre a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media for marketing and operational purposes, subject to our Privacy Policy. You represent that you own or control all rights to such content and that it does not infringe third-party rights or applicable law.

10. Intellectual Property

All trademarks, logos, product names, text, graphics, photographs, videos, and site design are the property of Nacre Beauty or its licensors. You may not copy, reproduce, sell, resell, or exploit any portion of the Services without our prior written consent.

11. Prohibited Uses

• Using the Services for unlawful purposes or to solicit unlawful activity;
• Interfering with security features, attempting unauthorized access, or introducing malware;
• Scraping, data-mining, or automated access without our consent; reselling products without authorization.

12. Cosmetic Disclaimers

• Products are for external use only. Discontinue use if irritation occurs and consult a healthcare professional.
• Individual results vary. Information provided is for general purposes and is not medical advice.
• We document adverse events as required by law, but we do not guarantee that our products are suitable for every individual.

13. Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). TO THE MAXIMUM EXTENT PERMITTED BY LAW, NACRE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. IN ALL EVENTS, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NACRE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMISSIBLE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nacre and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, misuse of the Services, or violation of law or third-party rights.

15. Communications & Marketing

By providing your email or phone number, you consent to receive transactional messages related to your orders and account. Marketing emails or SMS are optional and require your opt-in; you may opt out at any time (e.g., “Unsubscribe” link or SMS STOP). Message and data rates may apply for SMS.

16. Third-Party Services & Links

Our site may contain links to third-party websites or services that are not owned or controlled by Nacre. We are not responsible for their content, policies, or practices.

17. Force Majeure

We will not be liable for delays or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, pandemics, governmental actions, war, cyber incidents, or failures of suppliers or carriers.

18. Governing Law & Venue

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York, New York. Consumers in the EU/UK may benefit from mandatory local consumer protections.

19. Miscellaneous

• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. We may assign these Terms; you may not assign them without our prior written consent.
• Entire Agreement. These Terms, together with the policies referenced above, form the entire agreement between you and Nacre regarding the Services.
